CP PLUS Owner Aditya Infotech to Acquire 30% Stake in AI Video-Compression Firm BLUE

Noida, November 5, 2026: Aditya Infotech Limited (BSE: 544466 | NSE: CPPLUS), one of India’s leading providers of video surveillance and security technology solutions and owner of the flagship CP PLUS brand, has received Board approval to invest ₹45.4 crore in KGraph AI Solutions Private Limited (BLUE), an AI-powered video compression technology company, for a 30% stake on a fully diluted basis. The investment will strengthen the technology capabilities behind CP PLUS products and advance its next-generation surveillance solutions.

The transaction will comprise a combination of fresh equity infusion and purchase of shares from existing shareholders. It implies a post-money valuation of approximately ₹151 crore and is expected to be completed by November 5, 2026, subject to customary closing conditions. The deal marks another step in CP PLUS 2.0, the brand’s evolution from a hardware-led surveillance business into an integrated security solutions provider. BLUE’s technology addresses a growing requirement of modern surveillance infrastructure: managing increasing volumes of video data efficiently while preserving essential visual information.

BLUE is led by six co-founders who bring 15 to over 20 years of experience, with academic backgrounds from IIT Bombay and IIM Bangalore. The company has a 10-patent pipeline, with three applications filed and seven in progress.

BLUE’s proprietary Semantic Codec technology uses a perception-aware compression layer over the standard H.264 video codec to identify redundant visual information and reduce data volumes while preserving essential details. Based on its deployment data, the technology can reduce video storage and bandwidth requirements by up to 90%. It operates on cost-efficient edge hardware without requiring GPU infrastructure and is compatible with existing cameras and recording systems. This can help customers extend video retention and optimise deployment costs without replacing their existing infrastructure.

As surveillance expands across smart cities, government infrastructure, enterprises and critical infrastructure, the industry is moving towards more intelligent, connected and insight-led security solutions. This shift calls for stronger capabilities in data management, edge computing, AI-powered analytics and cloud integration. BLUE’s technology complements the CP PLUS roadmap by strengthening this critical layer and creating opportunities to enhance existing solutions and develop more scalable AI-enabled monitoring, video analytics and cloud-based services.

BLUE will continue to operate independently while collaborating with Aditya Infotech’s R&D and engineering teams across Noida, Ahmedabad and Taiwan. The partnership will combine BLUE’s expertise in computer vision, embedded systems and video compression with Aditya Infotech’s engineering, manufacturing and market capabilities to advance the development of intelligent security solutions.

Commenting on the investment, Aditya Khemka, Managing Director, Aditya Infotech Limited, said: “Video compression is foundational to the next phase of surveillance. As cameras multiply and resolutions rise, the cost of storing and moving video becomes the real constraint. BLUE addresses this challenge on cameras already in the field and brings a highly experienced team with expertise in computer vision and embedded systems. This investment is an important step in our CP PLUS 2.0 journey towards intelligent, connected security for a safer India.”

The partnership provides BLUE with an opportunity to scale its technology by leveraging Aditya Infotech’s established surveillance ecosystem, engineering capabilities and customer reach. It also brings together complementary expertise to explore emerging applications of intelligent video technology across enterprise, industrial and infrastructure environments.

Kunal Kislay, Co-founder and CEO, BLUE, said: “Our vision at BLUE has been to make video intelligence more efficient and accessible by addressing the growing challenges of video storage and bandwidth. Partnering with Aditya Infotech gives us the opportunity to take our technology to a wider market, combining our specialised capabilities with CP PLUS’s established surveillance ecosystem, engineering strengths and customer reach. We look forward to contributing to the next phase of intelligent and connected surveillance solutions.”
